Merchant Terms of Service

Version 2026-08-01

The agreement between Tokolane and a merchant selling through the platform.

1. What Tokolane provides

Hosted storefront software, a merchant dashboard, and an integration with Stripe. Tokolane is a software provider. It is not the seller of your products, not a party to your sales, and not a payment processor.

2. Who sells, and who gets paid

  • You are the seller and merchant of record for every order placed through your storefront.
  • Payments are processed by Stripe under your own Stripe agreement, into your own connected account.
  • Tokolane never takes custody of your funds and cannot release, hold, or reverse them.
  • Refunds, chargebacks, and disputes are between you, your shopper, and Stripe.

3. Your responsibilities

  • Accurate business details, kept current — these are published on your storefront.
  • Compliance with consumer, tax, product-safety and advertising law wherever you sell.
  • The Acceptable Use Policy, which is incorporated into these terms.
  • Your own privacy policy and any consent your shoppers' jurisdictions require.
  • Everything done under your team's accounts.

4. Fees

Subscription fees for your plan, billed in advance. Stripe's processing fees are separate and charged by Stripe. Taxes on the subscription are added where applicable. [Counsel: set out billing cycle, price-change notice period, and non-payment consequences.]

5. Suspension and termination

  • You may close your store at any time and export your data.
  • Tokolane may suspend a store immediately for an Acceptable Use breach, suspected fraud, a legal demand, or a payment-network requirement.
  • Tokolane may terminate for convenience on notice. [Counsel: fix the notice period.]
  • On termination your data remains available for export for a stated window, then is deleted.

6. Content and intellectual property

You keep ownership of everything you upload. You grant Tokolane the licence needed to host, display and transmit it in order to run your storefront. You warrant you hold the rights to it. Tokolane operates a notice-and-takedown process for infringement claims.

7. Warranties, liability and indemnity

[Counsel: disclaimer of implied warranties, liability cap, exclusion of indirect loss, and a merchant indemnity covering product claims, content, and legal breach — subject to the mandatory consumer protections of each jurisdiction you operate in.]

8. Changes to these terms

Material changes are versioned and require acceptance before you can keep selling. Your acceptance is recorded with the version, timestamp and IP address.

9. Governing law and disputes

[Counsel: governing law, venue, and dispute-resolution mechanism.]
